| Other consultancy services for business: mergers, acquisitions, financial mediation |

Beginning with 2007, Optimal Activ also offers other types of consultancy services for business, respectively consultancy in the domain of mergers and acquisitions, as well as financial mediations. This expansion of the range of services offered was possible as a result of the taking over of the consultants’ team from Valsa Consulting Ltd. Valsa Consulting’s storing of knowledge can be explained by taking into account its routine of about nine years in the above mentioned domains; its consultants’ expertise ranges from the identifying of the best financial opportunities – especially for big companies – to the coordination of merger negotiations and

| acquisition processes and the creation or restructuring of financial institutions. |

| In order to illustrate the way this expertise has materialized, we will mention some of the transactions of the past two years: |

| • The mediation in financing METROREX Ltd. National Company, with Euro 94 million, with a view to paying the maintenance services carried out by Alstom Transport Romania Ltd.; |
| • Restructuring the debts and identifying new financial solutions for Kvaerner IMGB Ltd. – at present Doosan IMGB; |
| • The mediation of financial investments destined to rehabilitate and modernize the public illumination in Constanta, Iasi, Botosani and Brasov. The total amount of the financing lines is Euro 40 million; the execution of the works was carried out by Flash Group; |
| • Consultancy for the foundation of treasury and cash management department and for the development of financial products for Posta Romana National Company; |
| • Consultancy with a view to privatizing of Radiocomunicatii National Company; |
| • The coordination of the process of acquisition, by KBC Group, of the biggest independent leasing company in Romania, Romstal Leasing. The total amount of the transaction was about Euro 70 million; |
| • The mediation of the acquisition of Global Finance & Leasing leasing company by Fortis Group; the amount of the transaction was Euro 4 million; |
| • The foundation of the privately administrated pension fund, The First Pension, for the Slovenian financial group PPD. |

| Two of the transactions made by Valsa Consulting in 2006, namely the acquisitions made by KBC Group and Fortis Lease – entered the top of the most important 10 financial-banking transactions in Romania in 2006. |

| Today, Optimal Activ has taken over the portfolio of Valsa Consulting. It has also become the business promoter – in Romania – of the prestigious financial institution CALYON and of Fortis Lease Company – the branch dealing with leasing which belongs to FORTIS, the Belgian-Dutch financial group. |
